The Board
The governance and management of the foundation are entrusted to a Board of Directors, which operates in accordance with the legal framework applicable to foundations of public utility in Belgium. The Board is responsible for the strategic oversight, financial stewardship, and operational supervision of the foundation’s mission and activities.
The Board of Directors consists of at least three members, including:
A Chairperson, who is responsible for convening and presiding over board meetings, safeguarding the foundation’s mission, and representing the foundation where needed;
A Secretary-Treasurer, who is responsible for maintaining records, ensuring compliance with statutory obligations, managing correspondence, and overseeing the financial administration and reporting of the foundation;
One or more additional board members, who support the collective responsibilities and contribute their expertise to the foundation’s decision-making processes.
Responsibilities of the Board
Under the collective authority of the Board, the following activities and duties are carried out:
Initiating, coordinating, and supervising projects in accordance with the foundation’s mission;
Evaluating and selecting suitable charitable purposes for general donations where no specific intent is indicated by the donor;
Ensuring that all projects and activities are aligned with the public utility status and are carried out in a transparent and ethical manner;
Safeguarding the proper allocation and spending of funds, in line with applicable laws and donor intentions;
Maintaining regular contact with stakeholders, including donors, beneficiaries, and public authorities, and ensuring accountability through transparent reporting;
Preparing and submitting annual financial statements and activity reports in compliance with Belgian legal requirements.
The Board meets at least twice per calendar year. Formal minutes are taken during each meeting and retained in the foundation’s official records. Extraordinary board meetings may be convened if deemed necessary by the Chairperson or at the request of at least two board members.
Compensation Policy
Our board members serve on a voluntary basis and do not receive any salary or reimbursement of expenses and/or attendance fees for their work for the foundation. We allocate the entire donation to direct assistance, and we implement a careful and considered financial policy with awareness of underprivileged children and women in need. A finance committee has been formed to oversee our finances.
